Major Blue Health Insurers to Combine

Two major Blue Cross Blue Shield insurers plan to tie up in a deal that will bring together powerful regional players that generate about $16 billion in combined revenue and cover more than six million people.

Cambia Health Solutions and Blue Cross and Blue Shield of North Carolina will merge their managements in a combined structure that will retain the Cambia name. The two not-for-profits said they aim to bolster their investments and speed progress in developing new health-data approaches and consumer tools, among other areas.

Though the two partners aren’t calling the deal a merger, Blue Cross NC and Portland, Oregon-based Cambia will share management, administration and other corporate services under Cambia’s brand, the companies announced Tuesday afternoon.

Two large operators of Blue Cross and Blue Shield health insurance plans announced what they are calling a “strategic affiliation” that will merge key management and operational functions into a larger health insurance company with the business on the East and West Coasts.

Cambia Health Solutions and Blue Cross and Blue Shield of North Carolina Tuesday said they have formed a “strategic affiliation” between the two companies with a goal of improving healthcare quality and lowering costs. The combined health insurer will have six million health plan enrollees and $16 billion in annual revenues.

RALEIGH, N.C. (AP) — Two Blue Cross Blue Shield insurers on both U.S. coasts will invest jointly in high-cost management technology and share insights into improving health care in a long-term agreement that will leave the companies as separate entities.

Blue Cross Blue Shield of North Carolina and Portland, Oregon-based Cambia Health Solutions said Tuesday that they will share top executives but will keep separate their assets and insurance policies. Cambia’s new board will be mixed.

Blues North Carolina CEO Conway to lead Cambia Health under strategic affiliation

Dr. Patrick Conway will become CEO of Portland, Ore.-based company Cambia Health Solutions in addition to maintaining his current role as CEO of Blue Cross and Blue Shield of North Carolina, the companies announced Tuesday.

The move is part of a so-called strategic affiliation between the two not-for-profit companies, in which they will share management, administrative, operational and other corporate services under a long-term services management agreement under the Cambia name. The companies said their goal is to improve quality and lower costs while creating a better experience for customers. A Blue Cross spokesman said sharing resources and expertise will allow the companies to move faster to drive change for their customers.

Cambia CEO Mark Ganz will assume the role of executive chair of Cambia’s board of directors. Dr. Patrick Conway, who is president and CEO of Blue Cross NC, will also be Cambia’s new CEO. The headquarters will be located in both Durham, North Carolina, and Portland.

Blue Cross and Blue Shield of North Carolina announced Tuesday that it would be combining with the Oregon-based insurer Cambia Health Solutions, a move that would join together two large Blue Cross and Blue Shield affiliated insurers.

Editor’s Notebook: Blue Cross deal in need of ripple effect

When one health insurance company controls more than 60 percent market share in one state, any action on corporate strategy should be closely followed by the people who buy insurance through their employers or through the government programs.

On March 12, Blue Cross and Blue Shield of North Carolina announced a pretty big deal to join forces with Oregon-based Cambia that would allow both companies to consolidate management, administrative and other corporate services. That joint entity will have a new name, but Blue Cross will continue to use its prominent name in serving its 3.7 million customers in the state.
